To use certain features of our Services, you must create an account by providing accurate and complete information. You are responsible for:

• Maintaining the confidentiality of your account credentials

• All activities that occur under your account

• Notifying us immediately of any unauthorized use

• Ensuring your information remains accurate and up-to-date

When you upload pitch decks, financial models, cap tables, customer contracts, term sheets, or any other content to our platform ("User Content"), you represent and warrant that:

• You own or have the necessary rights to the content

• The content does not violate any third-party rights

• The content is accurate, not misleading, and does not misrepresent your company's financial position or business metrics

• For Data Room documents: the financial figures, cap table entries, and contractual terms you upload are genuine and current

You retain ownership of your User Content. By uploading content, you grant NUVC a limited license to process, analyze, and store your content solely for the purpose of providing our Services. Data Room documents are never shared with investors without your explicit permission.

Our Services are provided on a paid basis. By purchasing our Services, you agree to:

• Pay all applicable fees as described on our website

• Provide accurate payment information

• Authorize us to charge your chosen payment method

All fees are non-refundable except where: (a) required by Australian Consumer Law or other applicable law; (b) the service fails to meet a consumer guarantee under the Australian Consumer Law; or (c) otherwise specified in writing by NUVC.

Nothing in these Terms limits your rights to a remedy under the Australian Consumer Law for a major or minor failure of our Services.

You may not use our Services to:

• Upload fraudulent, misleading, or illegal content

• Violate any applicable laws or regulations

• Attempt to reverse engineer or access our algorithms

• Interfere with the security or functionality of our platform

• Use automated tools to access our Services without permission

To the extent permitted by law, and subject to your rights under the Australian Consumer Law, our Services are provided without additional warranties beyond those required by law. We do not guarantee the accuracy of our analysis, the success of investor introductions, or any specific outcomes from using our platform. Investment decisions should be made based on your own due diligence and professional advice.

Nothing in these Terms is intended to exclude, restrict, or modify any consumer guarantee or other right or remedy under the Australian Consumer Law that cannot be excluded, restricted, or modified by agreement.

To the maximum extent permitted by law, and subject to your rights under the Australian Consumer Law, NUVC's total liability to you for all claims arising from or in connection with these Terms or our Services shall not exceed the amount you paid to NUVC in the twelve (12) months preceding the claim.

Our liability is not limited or excluded for any rights or remedies you have under the Australian Consumer Law that cannot be excluded or limited.

Our Services come with guarantees that cannot be excluded under the Australian Consumer Law. For major failures with the service, you are entitled to cancel your service contract with us and obtain a refund for the unused portion, or to compensation for its reduced value. You are also entitled to choose a refund or replacement for major failures with goods. If a failure does not amount to a major failure, you are entitled to have the failure rectified in a reasonable time. If this is not done, you are entitled to a refund for the services or to have the services provided again at no cost to you.
